Nassau Financial Group
One American Row, Hartford, CT, 06103, United States
Overview
Nassau Financial Group offers fixed annuities and asset management through its insurance subsidiaries. The company plans to use fresh capital to support organic growth and acquisitions and to further strengthen its balance sheet. As part of a strategic partnership, Golub Capital will provide access to middle-market direct lending strategies via a long-term investment management agreement for Nassau’s insurance subsidiaries. Nassau has prior minority investments from Fortress Investment Group (2023) and from Wilton Reassurance Company and Stone Point Credit (2021); Golden Gate Capital provided initial and subsequent growth capital and remains the majority controlling equity holder. The partnership with Golub is intended to expand Nassau’s balance-sheet investment capabilities and support continued growth. The transaction is expected to close in the second half of 2024 and is subject to customary closing conditions, including regulatory approvals. Nassau Financial Group is a diversified life insurance and asset management company operating across insurance, reinsurance, distribution and asset management segments. Founded in 2015 and based in Hartford, Conn., the company reported combined assets of $26.9 billion, capital of $1.1 billion and annual sales of approximately $600 million. Nassau has grown through acquisitions — including Foresters Life Insurance and Annuity Company — and expanded third‑party AUM to approximately $4 billion while establishing a U.K.-based investment management business. Over the last year it increased fixed annuity sales by 13% (while the industry declined about 15%), built direct-to-consumer and mobile annuity applications, and expanded its Nassau Re/Imagine insurtech incubator. The company intends to use new capital to execute organic growth plans across its insurance and asset management businesses and to support strategic acquisitions. Golden Gate Capital remains the majority controlling shareholder after providing the company’s initial and subsequent growth capital.
