Overview
Numanova produces high-quality metal powders from ferrous and non-ferrous alloys for the additive manufacturing industry and advanced applications in aerospace, energy, mechanical and biomedical fields. Its powders target advanced industrial and specialist applications. On 30 June 2017 Italeaf subscribed and paid the first tranche of a capital increase consisting of 250,000 ordinary shares issued at €1 each. Following that subscription Numanova's new share capital amounts to €3,250,000. Italeaf holds 85.58% of the company's share capital after the transaction; Paolo Folgarait holds 6.19% and other shareholders 8.23%. Numanova currently has 23 shareholders and the capital increase was resolved by the General Shareholders' Meeting on 23 June 2017 under articles 2438, 2439 and 2441 of the Civil Code. The company is part of the Italeaf group. At an extraordinary shareholders' meeting, Numanova resolved to transform from a limited liability company to a joint stock company, remove the nominal value of its ordinary shares and adopt a one-tier corporate governance system. The board of directors was confirmed with Stefano Neri as Chairman and Corrado Giancaspro as CEO, alongside executive and independent directors; Andrea Bellucci is the statutory auditor. The meeting approved a divisible capital increase of €0.65 million through the issuance of 650,000 no-par-value shares to be signed by 31 July 2016 to support growth of productive activities. Upon completion of the capital increase, Numanova's share capital will amount to €3,000,000 fully paid. The company currently has 17 shareholders, with Italeaf holding 85%, Paolo Folgarait 8.5% and other shareholders 6.5%.
