Overview

StartEngine is a Los Angeles-based platform that lets companies raise capital under exemptions from registration, including via Regulation A offerings and securities tokens. The platform has been used by more than 160 companies and recently closed a Regulation A offer that raised nearly $5M through the sale of common stock with commitments from over 3,400 investors. After the close, StartEngine announced the start of its own initial coin offering and published a roadmap for StartEngine Secondary, a security token trading marketplace. StartEngine Secondary will use LDGR, a patent-pending decentralized application on the Ethereum blockchain, to create a security token for every company using the marketplace. The company plans to use StartEngine Secure, an SEC-registered transfer agent, to verify and handle security token trading. StartEngine intends to launch Secondary assuming it obtains SEC and FINRA approval of StartEngine as a broker-dealer and ATS. StartEngine is a Los Angeles–based equity crowdfunding platform founded in 2013 by Executive Chairman Howard Marks and CEO Ron Miller. The platform connects millennials and aspiring investors with startup companies and currently hosts campaigns under Title IV of Regulation A+, enabling issuers to secure up to $50M. With the planned implementation of Title III rules in May 2016, StartEngine intends to expand the platform to allow issuers to raise up to $1M without the burden of SEC filing. The company raised $5.5M in funding and plans to use the proceeds to continue developing the platform and to run marketing and awareness campaigns.
