To strengthen its balance sheet and simplify governance, Trucordia will receive a $1.3 billion strategic investment led by Carlyle’s Credit Opportunities team within the Global Credit platform, valuing the company at $5.7 billion. The transaction is expected to close this month and will repurchase units from existing minority investors, reduce leverage, and provide long-term financial flexibility to pursue a variety of strategic outcomes. J.P. Morgan acted as sole advisor and placement agent to Trucordia, with Orrick, Herrington & Sutcliffe and Latham & Watkins serving as legal counsel to Trucordia and Carlyle, respectively.
