Overview

Founded in 1994, Q Investments is a private investment firm based in Fort Worth, Texas, with flexible capital that seeks opportunities across the entire capital structure of companies. Investments are not limited to any particular industry or investment strategy. As of end of June 2015, Q manages approximately $1.60 billion in drawn and undrawn capital and has a three-year lock with investors, which allows for the deployment of long-term investments in the Aviation, Private Equity, Distressed/Special Situations, and Activist spaces, to name a few. The internal partners at Q represent the largest part of the capital with approximately $771 million invested.

    Delta Organic Cannabis (DOC) is a privately held, Toronto-based cannabis investment company whose primary asset is an equity participation and earn-in agreement with CSE-listed Agraflora Organics International Inc. (AGRA). Under the Earn-In Agreement DOC is backing development of a 2.2 million square foot commercial medical cannabis cultivation operation in Delta, British Columbia, and will receive a 20% direct interest in the facility. The retrofit is divided into three phases: Phase 1 (350,000 sq ft, completion scheduled Q1 2019), Phase 2 (1,450,000 sq ft, by Q4 2019) and a final 400,000 sq ft phase; initial retrofit activities include site preparation, propagation operations, SOP development, security audit and ordering long‑lead items. Financially, DOC has advanced $12,500,000 to acquire 27,863,775 common shares of AGRA and is committed to advance a further $27,500,000 for an additional 61,300,305 AGRA common shares under the Earn‑In Agreement. Q Investments announced a $7,500,000 strategic private placement into DOC, which will be used to fund the second tranche of DOC’s investment into AGRA.
