    ALT5 Sigma is pursuing a crypto-treasury strategy by building a corporate reserve tied to World Liberty Financial's WLFI tokens. The company agreed to sell 200 million common shares for approximately $1.5 billion via a registered direct offering and a simultaneous private placement to replenish and expand its WLFI holdings. Both tranches are priced at $7.50 per share, with 100 million shares in the registered direct and 100 million in the private placement ($750 million each). Per an SEC Form 8-K, ALT5 Sigma will receive $750 million in WLFI tokens from World Liberty Financial in exchange for 1 million shares and 99 million pre-funded warrants with a $0.01 exercise price; those shares cannot be issued until the company increases its authorized share count. The other $750 million will be paid in cash through the registered direct sale, and the company intends to invest that cash to expand its corporate WLFI reserve. The company intends to close the offering on Tuesday; its shares fell about 9.8% at publication after a five-day increase of over 19%.
