2. FINANCIAL RELATIONSHIP DISCLOSURES & DISCLAIMERS
2.1 Information Service Only
The Venture Codex is a market intelligence and data platform. Neither the Service nor Magid and Company, LLC, through this website, acts as a broker-dealer, investment advisor, or financial planner.
2.2 Parent Company & Broker-Dealer Affiliation
The Venture Codex is operated by Magid and Company, LLC. This website is for informational purposes only. It does not constitute an offer, solicitation, recommendation, or commitment for any transaction or to buy or sell any security or other financial product, and is not intended as investment advice.
2.3 Jurisdictional Restrictions & Risk
Products and services mentioned or implied may not be available for residents of certain jurisdictions. Investing in private placements involves a high degree of risk. These investments are illiquid, speculative, and subject to substantial restrictions. Investors should conduct their own due diligence and consult with their legal, tax, and financial advisors.
2.4 No Warranty of Data
Any market price, indicative value, or data herein is not warranted as to completeness or accuracy, is subject to change without notice, and Magid and Company, LLC along with Finalis Securities LLC accepts no liability for its use. 3. OWNERSHIP AND INTELLECTUAL PROPERTY
3.1 Proprietary Database
You acknowledge that the Service contains a valuable proprietary database. Our "selection, coordination, and arrangement" of the data constitutes protectable intellectual property. Magid & Co retains all right, title, and interest in the Service and its Content.
3.2 Limited License
We grant you a personal, non-exclusive, non-transferable, limited license to access and use the Content for your internal research and analysis purposes only.
4. PROHIBITED USES
You expressly agree that you will NOT, and will not permit any third party to:
4.1 Automated Access
Use any "bot," "spider," "scraper," or other automated means to access, extract, or harvest data from the Service.
4.2 AI and Machine Learning
Use the Service or its Content to train, fine-tune, or validate any machine learning (ML) or artificial intelligence (AI) models, including Large Language Models (LLMs).
4.3 No Competitive Usage
Use the Service to develop a similar database, research tool, or market intelligence platform.
4.4 Technological Attacks
Reverse engineer, decompile, or attempt to circumvent any technical measures we use to protect the data.
4.5 Third-Party Integration
Input any Content into a CRM (e.g., Salesforce), marketing automation tool, or third-party database without explicit written permission from Magid & Co.
4.6 No Credit/Employment Eligibility (FCRA)
Use any Content as a factor in establishing an individual's eligibility for credit, insurance, or employment.
4.7 No Redistribution
White-label, sell, or redistribute the data to third parties. Any public use of data points must include clear attribution: "Source: The Venture Codex."
5. USER FEEDBACK
If you suggest corrections or submit data points ("Feedback"), you hereby assign to Magid & Co all right, title, and interest in such Feedback. We shall own all improvements made to our database resulting from your Feedback without any obligation of compensation.
6. FEES & FUTURE PAYMENTS
We currently offer access to the Service at no cost. However, Magid & Co reserves the right to implement fees or subscription tiers at any time. Your continued use after such implementation constitutes your agreement to pay such fees.
7. INDEMNIFICATION
You agree to indemnify and hold harmless Magid & Co and Finalis Securities LLC from and against any third-party claims, damages, or costs (including attorney's fees) arising from your breach of these Terms, including but not limited to unauthorized scraping or AI training.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 USD). WE SHALL NOT BE LIABLE FOR ANY LOST PROFITS OR LOST DATA.
9. DISPUTE RESOLUTION & CLASS ACTION WAIVER
9.1 Governing Law
These Terms are governed by the laws of the State of New York.
9.2 Mandatory Arbitration
Any dispute shall be settled by binding arbitration in New York, NY.
9.3 CLASS ACTION WAIVER
YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
